Terms and Conditions for TraderAPP Canada Platform

Please read these Terms of Service carefully before using the TraderAPP Canada platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms
By accessing, browsing, or using the TraderAPP Canada platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you and TraderAPP Canada Inc. ("Company," "we," "us," or "our"), a corporation incorporated under the laws of Canada.
2. Definitions
- "Platform" means the TraderAPP Canada website, mobile applications, and related services
- "User" means any individual who accesses or uses the Platform
- "Client" means a User seeking skills development services
- "Advisor" means a qualified professional providing skills development services
- "Services" means all features, tools, and services provided through the Platform
- "Content" means all text, graphics, images, videos, and other materials on the Platform
- "Session" means a scheduled interaction between a Client and Advisor
3. Eligibility
3.1 Age Requirements
- You must be at least 16 years old to use the Platform
- Users aged 16-17 may require parental consent for certain services
- Users under 16 are prohibited from using the Platform
3.2 Legal Capacity
You must have the legal capacity to enter into binding agreements. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.
3.3 Geographic Restrictions
The Platform is primarily designed for users in Canada. Access from other jurisdictions may be restricted or subject to additional terms.
4. Account Registration and Security
4.1 Account Creation
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the accuracy of your account information
- Each person may maintain only one account
- Business accounts may be created for organizational use
4.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized access to your account
- You are liable for all activities that occur under your account
- We recommend using strong passwords and enabling two-factor authentication
4.3 Account Verification
We may require verification of your identity, qualifications, or other information. Failure to provide requested verification may result in account suspension or termination.
5. Platform Services
5.1 Skills Development Services
- Skills assessments and diagnostic tools
- Advisor matching and consultation services
- Training session scheduling and management
- Progress tracking and certification support
- Resource libraries and learning materials
5.2 Communication Tools
- Messaging system between Clients and Advisors
- Video conferencing capabilities
- File sharing and document management
- Session recording (with consent)
5.3 Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or technical issues.
6. User Responsibilities
6.1 General Obligations
- Use the Platform in accordance with these Terms and applicable laws
- Provide accurate information and keep your profile updated
- Respect the rights and privacy of other Users
- Maintain professional conduct in all interactions
- Report any violations of these Terms or suspicious activity
6.2 Client Responsibilities
- Attend scheduled sessions or provide reasonable notice of cancellation
- Pay fees promptly and in accordance with agreed terms
- Actively participate in skills development activities
- Provide honest feedback about Advisor services
6.3 Content Standards
All User-generated content must be:
- Accurate and not misleading
- Respectful and professional
- Free from discriminatory or offensive language
- Compliant with intellectual property rights
- Relevant to skills development and professional growth
7. Advisor Obligations
7.1 Qualification Requirements
- Maintain current professional certifications and credentials
- Provide evidence of qualifications and experience
- Complete platform-specific training and orientation
- Undergo background checks as required
7.2 Service Standards
- Provide services with professional competence and integrity
- Maintain confidentiality of Client information
- Respond to Client inquiries in a timely manner
- Honor scheduled appointments or provide adequate notice
- Comply with the Advisor Code of Conduct
7.3 Continuing Education
Advisors must participate in ongoing professional development and maintain current knowledge in their areas of expertise. We may require completion of specific training modules.
8. Payments and Fees
8.1 Fee Structure
- Platform Fees: Monthly or annual subscription fees for access
- Session Fees: Per-session charges for Advisor consultations
- Assessment Fees: Charges for comprehensive skills assessments
- Certification Fees: Costs associated with certification programs
8.2 Payment Terms
- All fees are in Canadian dollars unless otherwise specified
- Payment is due at the time of service or as otherwise agreed
- We accept major credit cards, debit cards, and electronic transfers
- Recurring charges will be automatically processed
8.3 Refund Policy
- Platform Subscriptions: 30-day money-back guarantee for new subscribers
- Session Fees: Refundable if cancelled 24+ hours in advance
- Assessment Fees: Non-refundable once assessment is completed
- Certification Fees: Refundable according to certification body policies
8.4 Advisor Payments
Advisors receive payment for services according to their agreements with us. We handle all payment processing and remit advisor fees according to established schedules.
9. Intellectual Property Rights
9.1 Platform Content
All content on the Platform, including text, graphics, logos, software, and design elements, is owned by us or our licensors and protected by Canadian and international copyright laws.
9.2 User Content License
By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content for platform operations.
9.3 Trademark Rights
"TraderAPP Canada" and related marks are our trademarks. You may not use our trademarks without our prior written consent.
9.4 Copyright Infringement
We respect intellectual property rights and will respond to valid copyright infringement notices. To report infringement, contact us at legal@traderapp.ca.
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy and in accordance with applicable privacy laws.
11. Prohibited Conduct
11.1 General Prohibitions
You may not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful, offensive, or inappropriate content
- Engage in harassment, discrimination, or abusive behavior
- Attempt to gain unauthorized access to the Platform or other accounts
- Interfere with the Platform's operation or security
- Use automated tools to access or scrape the Platform
11.2 Professional Misconduct
- Misrepresent qualifications, credentials, or experience
- Provide services outside your area of competence
- Breach client confidentiality
- Engage in conflicts of interest without disclosure
- Solicit clients for services outside the Platform
11.3 Commercial Restrictions
- Use the Platform for unauthorized commercial purposes
- Advertise or promote third-party services without permission
- Circumvent our payment systems
- Create multiple accounts to avoid fees or restrictions
12. Termination
12.1 Termination by You
You may terminate your account at any time by following the account closure process in your settings. Termination does not relieve you of obligations incurred prior to termination.
12.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms or our policies
- Engage in fraudulent or illegal activities
- Fail to pay required fees
- Pose a risk to other Users or the Platform
- Remain inactive for an extended period
12.3 Effect of Termination
Upon termination, your access to the Platform will cease, and we may delete your account data according to our data retention policies. Some provisions of these Terms will survive termination.
13. Disclaimers
13.1 Service Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2 Advisor Services
We do not guarantee the quality, accuracy, or effectiveness of Advisor services. Advisors are independent contractors, and we are not responsible for their actions or advice.
13.3 Results Disclaimer
We make no guarantees about employment outcomes, certification success, or career advancement resulting from use of our Platform or services.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify, defend, and hold harmless TraderAPP Canada, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform, violation of these Terms, or infringement of any rights.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution of disputes through direct negotiation for at least 30 days.
16.2 Mediation
If informal resolution fails, disputes may be submitted to mediation through a recognized Canadian mediation service.
16.3 Arbitration
Disputes not resolved through mediation may be submitted to binding arbitration under the rules of the ADR Institute of Canada.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be conducted in the courts of Ontario, Canada.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and us.
18.2 Amendments
We may modify these Terms at any time by posting updated terms on the Platform. Your continued use constitutes acceptance of the modified terms.
18.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
18.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
